UNITY 22 CONTENT LICENSE

Virgin Galactic, LLC (“Licensor”) grants to you, broadcaster (“Licensee”), without warranty or representation of any kind, a limited, non-exclusive and nontransferable license to use and exhibit (a) Licensor’s live stream (the “Live Stream”) of the Virgin Galactic Unity 22 launch event scheduled for Sunday, July 11 , 2021 (currently intended to be provided by Licensor via uplink)

(the “Launch Event”) and/or excerpt(s) thereof, and/or (b) videos currently residing on Licensor’s dedicated YouTube page (the “YouTube Videos”) and/or excerpts thereof (the Live Stream, YouTube Videos and/or excerpts thereof, collectively, the “Licensor Material”), in each case solely for the purposes and in the manner herein and for no other use or purpose whatsoever. By using the Licensor Material, Licensee agrees to the terms contained herein. Licensee shall be authorized to use and exhibit the Licensor Material solely (i) on an editorial basis, (ii) in-context and in connection with Licensor-related content and (iii) in connection with coverage of the Launch Event. Except as otherwise set forth above, Licensee will make no reproduction or use of the Licensor Material, and Licensee will not authorize any other party to do so. Further, Licensee agrees that it has no right to edit or otherwise alter the Licensor Material except as is reasonably necessary for inclusion in exhibitions related to the coverage of the Launch Event.

Licensee shall, as a condition for the use by Licensee of the Licensor Material, obtain at Licensee's cost and expense, all required authorizations, consents and releases, and pay all reuse fees and other payments, if any, necessary for the use of the Licensor Material hereunder, including, but not limited to, consents from all persons whose likenesses or performances are contained in the Licensor Material, and consents from all unions and guilds to the extent required under applicable collective bargaining agreements.

Licensee shall indemnify Licensor and its agents, board, employees, representatives, associates, affiliates, parent and subsidiaries, and save and hold them, and each of them, harmless of and from any and all loss, costs, damage, liability and expense, including reasonable outside attorney's fees, arising out of any claim whatsoever which may be brought based upon Licensee's use of the Licensor Material hereunder.

In connection with Licensee’s use of the Licensor Material, Licensee shall provide credit adjacent to the applicable material as follows: "Courtesy of Virgin Galactic”.

Except as set forth herein, no use or reproduction of the name, trademark or logo of Licensor shall be used without Licensor's prior written consent.
